Professionalisation Service Agreement

This agreement outlines the terms under which Professionalisation Limited (“We” or “Us”) provides services to you, the client (“You”). By emailing confirmation that you have read and agree to these terms, you are bound by them.
We offer business support services, including business strategy, operational support, bookkeeping, accounting assistance, IT solutions, administrative tasks, and recruitment services, delivered by our internal team of employees and independent contractors under the Professionalisation brand. Services are accessed via Time Packs, providing hours usable across our offerings.
Each Time Pack is a prepaid block of hours usable over days, weeks, or months. Unused hours expire after 9 months of inactivity. We may, but are not obligated to, notify you of an expiring balance. It remains your responsibility to track and utilise your hours.
We log all time spent working on your behalf or communicating with you (excluding 24/7 reception), deducted from your Time balance. Costs incurred on your behalf (e.g., filing fees, recruitment ads) are converted to time at your hourly rate (e.g., £40 at £80/hr = 0.5 hours deducted). A breakdown is available upon request.
We provide general guidance on business operations, strategy, and accounting support. For recruitment, we shortlist candidates based solely on your description of requirements; all hiring decisions and further assessments are your responsibility. We do not provide regulated financial, legal, or professional accounting advice, nor guarantee outcomes, including candidate performance. You are responsible for verifying advice and consulting qualified professionals as needed.
Services are delivered by directly employed staff and independent contractors, integrated into our operations. We oversee their work for consistency, but contractors are responsible for the accuracy and outcomes of their specialised advice and activities. All staff are competent for their tasks.
We offer free services to active clients—those with paid service usage within the last 3 months—at our discretion. These are available only while you remain active and may be withdrawn if engagement lapses.
Your information is confidential and not disclosed unless publicly available or legally required. Our staff are bound by this.
We deliver services with reasonable care and skill. Our liability for errors, omissions, or outcomes is limited to the lower of total fees paid by you in the previous 12 months or £5,000. We are not liable for losses from reliance on advice outside our stated scope. You indemnify us against third-party claims arising from our services, to the fullest extent permitted by law.
We maintain professional indemnity insurance for claims related to our services, though liability remains capped per Section 8.
You must provide accurate information for our services. You acknowledge our advice is general and will seek independent input for regulated or high-stakes decisions.
We may amend these terms, effective 14 days after written notification (e.g., email). Continued use of our services after notification accepts the changes.
Either party may terminate this agreement at any time with written notice, effective upon completion of ongoing work in progress or 7 days after notice, whichever is later. We may, at our discretion, complete such work, with hours deducted from your Time balance accordingly. Unused hours may be refunded at our discretion or remain valid until their 9-month expiry. Free services cease upon termination or if you’re no longer active.
Governed by the laws of England and Wales, with disputes under exclusive jurisdiction of its courts.
This is the full agreement, superseding prior understandings. To accept, email us at support@professionalisation.co.uk stating: “I have read and agree to be bound by the Professionalisation Service Agreement at https://professionalisation.co.uk/terms-of-service/.” Your email confirmation binds you to these terms from the date received, and services will commence only after we receive it.
